Text Messaging Terms of Service

THIS AGREEMENT IS LEGALLY BINDING; PLEASE READ IT CAREFULLY. If you do not agree to these terms, you must not use the Service. 

RGH Enterprises, LLC d/b/a Edgepark Medical Supplies, North Coast Medical Supply, LLC dba Advanced Diabetes Supply; US Med, LLC, United States Medical Supply, LLC, and US Med Direct, LLC (collectively, “we,” “us,” or “our”) offer access to pharmacy and medical device delivery service messages via recurring SMS (Short Message Service) and/or MMS (Multimedia Message Service) text messages (collectively, the “Service”). 
 
The Service may be accessed and used only within the geographic boundaries of the United States and is not intended for access or use from any other jurisdiction. 

By providing your cellular telephone number and enrolling in the Service, or by otherwise using the Service, you become a “User” (“you” or “User”) and agree to comply with and be bound by these Terms of Service (this “Agreement”). This Agreement applies both to Users who are individual account holders, as well as Users who sign up to manage an account on behalf of another person, such as a family member or a minor, as a designated Proxy (see Section 7 below). 

WHILE YOU SHOULD READ THE ENTIRE AGREEMENT, PLEASE NOTE IN PARTICULAR: 

  • YOU AGREE THAT WE MAY SEND YOU TEXT MESSAGES, INCLUDING AUTOMATED TEXT MESSAGES SENT USING AUTOMATED DIALING TECHNOLOGY, REGARDING HEALTHCARE PRODUCTS AND SERVICES AND ASSOCIATED BILLING AND OTHER FINANCIAL CONTENT, INCLUDING BUT NOT LIMITED TO (I) PRESCRIPTION REMINDERS, REFILL REMINDERS AND AUTO-REFILL SERVICES, (II) MEDICATION SYNCHRONIZATION SERVICES, (III) ORDER STATUS AND DELIVERY UPDATES, (IV) MEDICATION AND DEVICE RECALLS, (V) INFORMATION REGARDING GENERIC MEDICATION LAUNCHES, (VI) NOTICES CONCERNING DISEASE STATE MANAGEMENT PROGRAMS, (VII) MEDICATION ADHERENCE PROGRAMS, (VIII) BILLING STATEMENTS AND REMINDERS, (IX) REQUESTS FOR PAYMENT AND REMINDERS OF AMOUNTS DUE, (X) OTHER FINANCIAL COMMUNICATIONS RELATED TO YOUR ACCOUNT WITH US; AND (XI) PLATFORM AVAILABILITY MESSAGES. IF YOU DO NOT WISH TO RECEIVE THESE MESSAGES, DO NOT ENROLL IN OR USE THIS SERVICE. 
  • You may opt-out of receiving text messages at any time by following the opt-out instructions in any text message you receive from us. 
  • You should take reasonable steps to keep your phone private and secure to protect the personal healthcare information that we send you. 
  • Text and email communications sent through standard carrier channels may not be encrypted and may be subject to security limitations. By enrolling in or using this Service, you acknowledge these communication limitations and agree that we may send you messages through those channels in accordance with our Privacy Notices. 
  • You must not use the Service if you are under 18. 
  • The privacy practices applicable to your use of the Service are described in our Notice of Privacy Practices and the Cardinal Health Global Privacy Notice (collectively, the “Privacy Notices”), each of which is incorporated by reference into this Agreement. 
  • In the event of any inconsistency or conflict, the Notice of Privacy Practices shall govern with respect to matters subject to the Health Insurance Portability and Accountability Act of 1996 (HIPAA), followed by the Cardinal Health Global Privacy Notice, and then this Agreement. 
  • By replying YES, otherwise signing or consenting to this Agreement, or continuing to use the Service, you acknowledge and agree to this Agreement and to our Notice of Privacy Practices, available here, as well as the Cardinal Health Global Privacy Notice, available on the Cardinal Health website.  
  • We may update this Agreement from time to time. If you continue to use the Service after changes take effect, you agree to the updated Agreement. 
  • Message frequency varies by use. We do not charge for the Service, but message and data rates may apply depending on your mobile plan. Carriers are not liable for delayed or undelivered messages. If you have any questions about your text plan or data plan, it is best to contact your wireless provider. 

1. Enrollment

By enrolling, you represent and warrant that: (a) you are of legal age to form a binding contract; (b) you will provide us with accurate, current and complete enrollment information; (c) you are the owner or authorized user of the wireless device you use to enroll for the Service; (d) you are authorized to approve and will be responsible for any applicable charges from your carrier; and (e) your enrollment and your use of the Service will comply with all applicable laws. 

When you enroll in the Service, we use 5-digit or 6-digit telephone numbers (commonly referred to as “short codes”), including 24126 and 94017, to send text messages to you. 

2. Text Message Consent and Opt-Out 

You authorize us to deliver text messages to the wireless number we have on file regarding healthcare products and services and associated billing and other financial content, including but not limited to: (i) prescription reminders, refill reminders, and auto-refill services; (ii) medication synchronization services; (iii) medication and device recalls; (iv) information regarding generic medication launches; (v) notices concerning disease state management programs; (vi) medication adherence programs; (vii) billing statements and reminders; (viii) requests for payment and reminders of amounts due; (ix) other financial communications related to your account with us; and (x) platform availability messages. These messages may be sent using automated dialing technology. When you opt-in to the service, we will send you a message confirming your opt-in to 94017 to receive Edgepark Alerts. We do not charge for the Service, but message and data rates may apply. Your consent is not a condition of purchase. 

You can cancel the Service at any time by texting “STOP” to 24126, 94017, or any related or successor short code. After you send “STOP,” we will send a confirmation message that you have been unsubscribed. After that, you will no longer receive text messages from us. If you want to re-enroll, sign up again as you did the first time. If you need help, text “HELP” in response to any message you receive. After you send “HELP,” we will respond with instructions on how to use the Service and how to unsubscribe. You may also turn off push notifications in your mobile device settings. 

3. Ownership of the Service 

We own, and shall continue to own, all documentation, intellectual property, and other materials that we or any of our affiliates or parent entities provide to you, together with all copies thereof, regardless of whether such materials are provided before, on, or after the date on which you first begin using the Service or provide your consent to this Agreement, whichever comes first (the “Effective Date”). You agree to promptly return to us, or to any of our affiliates or parent entities, all property (including intellectual property) belonging to us or our affiliates or parent entities upon the earliest of: (i) our request; (ii) your completion of the related Services; or (iii) your termination of this Agreement (opt-out). 

4. License Grant and Restrictions 

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your personal, non-commercial, healthcare-related purposes. This license does not include any rights to modify, distribute, reproduce, or create derivative works of any content, documentation, or materials provided by us or our affiliates or parent entities. All rights not expressly granted to you under this Agreement are reserved by us and our affiliates and parent entities. Any recompilation, reverse engineering, reverse compiling, disassembly, translation, or reduction of the software or materials provided through the Service to human-readable form is strictly prohibited, except to the extent otherwise permitted by applicable law. 

5. General Restrictions 

You agree to comply with all applicable laws and our published policies. You will not: (a) impersonate any person or entity; (b) interfere with or disrupt the Service; (c) engage in conduct that restricts or inhibits others from using the Service or that exposes us or our affiliates to liability; or (d) submit or distribute material that is unlawful, abusive, obscene, defamatory, or infringes any third-party rights. We reserve the right to maintain records of your use of the Service. 

6. Your Security Obligations 

Using the Service may make certain minimally necessary personal information, including prescription-related information and activity, viewable on your mobile device. To help protect your privacy, please follow these safeguards: 

  • Keep your mobile device and the information on it secure, including by password-protecting your device. 
  • If you do not notify us when you change or stop using your cellular telephone number, there is a risk that messages meant for you will be sent another person to whom your former number is assigned. You may notify us of a change in your cellular telephone number by using the appropriate contact method below:

Important Notice: If your mobile number is reassigned to another person and you have not informed us of the change, messages intended for you may be delivered to that person. Notify us promptly if your mobile number changes so we can update our records. 

  • Do not use the Service on a device that is shared with others, as your health and personal information could be shared with those individuals through the shared device.  
  • When you opt in to receive healthcare text messages, you acknowledge that these messages are sent through standard carrier channels that may have security limitations and may contain personal information, such as a drug name or prescription number. We encourage you to use device safeguards and to be aware that others with access to your device may be able to view these messages. 

7. Minors

We are committed to protecting children’s privacy and complying with applicable laws, including the Children’s Online Privacy Protection Act (COPPA). The Service is not intended for individuals under 18 years of age. If you are under 18, you may not register, provide personal information, or use the Service. If a minor requires access to certain services, a parent, legal guardian, or other responsible adult authorized to act on behalf of the minor (a “Proxy”) must complete all required authorizations. A Proxy is an individual who has the legal right or explicit consent to manage the minor’s account and make decisions related to the Service on the minor’s behalf.  

Third Parties 

We may engage third-party vendors, contractors, or service providers to deliver or support the Service. Any third parties engaged to deliver or support the Service are required to comply with applicable laws. Special Terms for Location-Based Services 

Some features of the Service rely on location-related information, such as time zone or zip code, and may use technology integrated into your device. These features may not function properly if location services are disabled or unavailable for any reason. By using location-based features of the Service and enabling location services, you consent to our collection and use of location-related information (including time zone and zip code) as reasonably necessary to provide those features, as described in our Privacy Notices. Location data may not always be accurate, and errors can occur. You should use your own judgment when relying on location-based information provided through the Service. If you do not want us to use location-related information in this way, do not enable or use location-based features. 

9. Warranty Disclaimers and Limitations of Liability 

The Service is intended as an informational resource only. It does not provide medical advice and is not a substitute for guidance from a qualified healthcare professional. The Service is designed to supplement, not replace, the methods you use to communicate with us, obtain medications and fill prescriptions, and you remain responsible, in consultation with your healthcare provider(s), for managing your medications, your prescriptions and your medical conditions.  

The Service is provided to support communications about your orders, prescriptions, account activity, and related services. It is not intended to replace your relationship with your healthcare provider(s) or your responsibility, in consultation with your healthcare provider(s), to manage your medications and medical care. 

To the fullest extent permitted by applicable law, we are not liable for losses arising from your failure to follow medical advice, seek appropriate medical care, maintain accurate account or contact information, or use the Service as instructed. You agree to use the Service only as intended and not in a manner that interferes with its operation or violates applicable law. 

Carriers are not liable for delayed or undelivered messages. Communications sent through the Service use standard text and data protocols, and any illegal interception or manipulation by third parties is beyond our control. Message frequency varies by use. Message and data rates may apply. 

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will always be available, uninterrupted, timely, error-free, or free from security vulnerabilities, or that information provided through the Service will always be complete, accurate, or current. 

No advice or information, whether oral or written, obtained by you from us or through the Service will create any warranty not expressly stated in this Agreement. 

To the fullest extent permitted by applicable law, our liability arising out of or relating to the Service will be limited to direct damages actually incurred by you and will not exceed the greater of (a) the amount you paid, if any, for the Service in the 12 months before the event giving rise to the claim or (b) $100. Nothing in this Agreement limits liability to the extent such limitation is prohibited by law. 

To the fullest extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Service, even if we have been advised of the possibility of those damages. 

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF WARRANTIES OR OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. 

10. Termination and Suspension 

We may suspend or terminate your access to the Service at any time, for any reason or no reason, without prior notice or liability. Access will also automatically end if your wireless service lapses or terminates. We reserve the right, in our sole discretion, to modify, suspend, or discontinue any aspect, format, or feature of the Service at any time without notice, and we have no liability to you or any third party for doing so. 

11. Venue 

The parties agree that any action arising from or relating to this Agreement must be brought exclusively in a state or federal court located in Franklin County, Ohio. The parties waive any objection to such court as an improper or inconvenient forum and consent to its jurisdiction and venue.

12. Applicable Law and Jurisdiction 

You agree that all matters arising from or relating to the use and operation of the Service will be governed by the substantive laws of the State of Delaware, regardless of the laws that might otherwise govern under applicable principles of conflicts or choice of laws. You are responsible for your compliance with all local laws, and in no event will you use the Service in violation of U.S. export laws or regulations. 

13. Non-Discrimination 

We do not discriminate based on race, color, national origin, religion, sex, gender identity (including gender expression), sexual orientation, disability, age, or military status. Participation in text message programs is voluntary and available to all eligible patients. If you require alternative communication methods or auxiliary aids due to a disability, please contact us using the contact information provided in this Agreement. 

14. General Terms and Consent 

We are not liable for delays or failures to perform caused by circumstances beyond our reasonable control. If we do not immediately enforce any part of this Agreement, that does not mean we waive our rights to do so later. A waiver of any specific term does not mean we waive any other term or future breach.  

When we say “including,” we mean “including but not limited to.” If any part of this Agreement is found invalid or unenforceable by a court, the rest will remain in effect, and the invalid part will be adjusted to reflect the parties’ intent as much as the law allows. 

This Agreement is the entire agreement between you and us regarding its subject matter and replaces any prior promises or discussions, whether written or oral. You may not transfer, sublicense, or assign this Agreement or any rights under it to anyone else. 

By agreeing electronically (for example, by checking a box), you confirm that you have read, accepted this Agreement and consent to receiving text messages from us as described herein at the cellular phone number(s) you provide now and in the future. Message and data rates may apply, and you can opt-out at any time by following the instructions provided in this Agreement or in the text message. You have the right to request a paper copy of this Agreement; we will not provide you with paper (non-electronic) copies of this Agreement or any communications described herein unless specifically requested by you. You may incur a fee for paper copies. Please contact us for more information about possible fees. You are not required to sign this Agreement or agree to receive text messages as a condition of purchasing any property, goods, or services from us.
